Terms of Service

By creating an account, uploading a file, or otherwise accessing the Service, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement, and agree to these Terms on behalf of yourself or the organization you represent.

AgentYield is a software-as-a-service platform that allows developers and organizations to upload AI agent log files, analyze them for cost inefficiencies and waste patterns, and receive actionable recommendations. The Service includes a web application, a JavaScript/TypeScript SDK (@agentyield/sdk), and associated APIs.

3.1 Account Creation. Certain features of the Service require you to create an account. You agree to provide accurate, current, and complete information and to keep it updated.

3.2 Account Security. You are responsible for maintaining the confidentiality of your credentials and API keys. You are solely responsible for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

3.3 One Account Per User. You may not create multiple accounts to circumvent plan limits or access the Service after termination.

4.1 Plans. The Service is offered under the following tiers: Free, Builder ($29/month), Pro ($99/month), and Team ($299/month). Plan features, limits, and pricing are described at agentyield.co and are subject to change with reasonable notice.

4.2 Billing. Paid subscriptions are billed on a recurring monthly basis. By providing a payment method, you authorize us to charge that method on each renewal date.

4.3 No Refunds. All payments are final and non-refundable. We do not offer refunds or credits for any partial subscription periods, unused features, or unused run allowances, except as required by applicable law.

4.4 Cancellation. You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Cancellation takes effect at the end of your current billing period. Your account will remain active and fully functional through that date, and you will not be charged for the following renewal period. Cancellation does not entitle you to a refund of any amounts already paid.

4.5 Free Tier. The Free tier is provided at no charge subject to applicable usage limits. We reserve the right to modify or discontinue the Free tier with reasonable notice.

4.6 Taxes. Prices do not include applicable taxes. You are responsible for all taxes arising from your use of the Service.

You agree not to use the Service to:

• Upload files containing malware, exploits, or content designed to harm the Service or other users
• Attempt to reverse engineer, decompile, or extract proprietary algorithms or models used by the Service
• Scrape, crawl, or systematically extract data from the Service beyond normal use
• Resell or sublicense access to the Service without our written consent
• Circumvent usage limits, access controls, or billing systems
• Use the Service for any unlawful purpose or in violation of any applicable law or regulation

We reserve the right to suspend or terminate accounts that violate these restrictions.

6.1 Your Ownership. You retain all rights to the log files and data you upload to the Service ("Your Data"). We claim no ownership over Your Data.

6.2 License to Us. By uploading Your Data, you grant WonderWorks Group, LLC a limited, non-exclusive license to process, analyze, and store Your Data solely to provide the Service to you.

6.3 Data Retention. Raw log files uploaded to the Service are retained for up to 90 days and then automatically deleted. Derived records (run summaries, waste findings, recommendations) are retained in accordance with your plan tier. You may delete your data at any time through your account settings.

6.4 Sensitive Data. Do not upload log files containing passwords, credentials, payment card data, government-issued identification numbers, protected health information, or other sensitive personal data. You are solely responsible for scrubbing sensitive information before uploading.

6.5 Aggregated Analytics. We may use anonymized, aggregated data derived from Service usage to improve the Service, develop benchmarks, and conduct research. This data will not identify you or your organization.

7.1 API Keys. API keys are issued to authenticated users and are tied to your account. You are responsible for keeping your API keys confidential. Do not commit API keys to public source code repositories.

7.2 SDK Use. The @agentyield/sdk is provided under the MIT License. Your use of the SDK is also subject to these Terms with respect to data transmitted to the Service.

7.3 Key Revocation. We reserve the right to revoke API keys that are compromised, misused, or associated with accounts in violation of these Terms.

8.1 Our IP. The Service, including its design, software, algorithms, and documentation, is owned by WonderWorks Group, LLC and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

8.2 Feedback. If you provide feedback, suggestions, or ideas regarding the Service, you grant us an irrevocable, royalty-free license to use that feedback without restriction or compensation to you.

The Service integrates with third-party providers including Anthropic (AI analysis), Supabase (database and authentication), and payment processors. Your use of those integrations may be subject to the respective providers' terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WONDERWORKS GROUP, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or that cost savings estimates or recommendations produced by the Service will be accurate or achievable. Recommendations are provided for informational purposes only.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WONDERWORKS GROUP, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO US IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify, defend, and hold harmless WonderWorks Group, LLC and its members, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Data, your violation of these Terms, or your violation of any third-party rights.

13.1 Term. These Terms remain in effect for as long as you use or access the Service.

13.2 Termination by You. You may stop using the Service and close your account at any time. See Section 4.4 for cancellation terms applicable to paid subscriptions.

13.3 Termination by Us. We may suspend or terminate your access to the Service immediately and without notice if you materially breach these Terms, engage in fraudulent or illegal activity, or if we discontinue the Service. We may also terminate accounts on the Free tier that have been inactive for more than 180 days with 14 days' prior notice.

13.4 Effect of Termination. Upon termination, your right to access the Service ceases immediately. Sections 4.3, 6, 8, 10, 11, 12, 14, and 15 survive termination.

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Wyoming, and you consent to personal jurisdiction in those courts.

15.1 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and WonderWorks Group, LLC regarding the Service and supersede all prior agreements.

15.2 Modifications. We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance.

15.3 Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.4 No Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

15.5 Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

15.6 Force Majeure. We are not liable for delays or failures in performance resulting from causes beyond our reasonable control.
